1. General

With the order confirmation of an individual offer of MR education services you accept our general terms and conditions. These can be viewed at any time on our website in the imprint. All additional agreements between the client and MR education services must be made in writing and countersigned by both parties. Verbal agreements are not valid.

2. Conclusion of contract

The basis for the conclusion of a contract is a limited, written offer from MR education services. This must be signed and returned in order to accept the offer. This can be submitted informally, also scanned by e-mail or fax. The order becomes binding through written confirmation.

3. Services

MR education services provides its services through salaried and/or freelance employees. MR education services is obliged to select the lecturers to the best of its knowledge and in accordance with the MR education services quality criteria for lecturers. As a rule, the venue for all training courses is suitable premises within the client’s business premises or virtual classrooms. If desired, external premises can also be used. This must then be ordered and agreed separately in each individual case. The following information under 3.1., 3.2. and 3.3. are minimum implementation times. The final duration of the respective form of training shall be agreed upon in the individual contract within the framework of the offer underlying the conclusion of the contract.

3.1. Foreign language training

3.1.1. In-House Individual Training and In-House Group Training
A teaching unit (UE) at MR education services is 45 minutes. The minimum length of a lesson is 2 units (90 minutes in total). Organisational issues such as the scheduling, the determination of the start date, the course frequency as well as the determination of the planned performance period are to be agreed upon in advance with the training participants or a training officer of the commissioning organisation. These agreements are binding and will be fixed again within the framework of the offer if desired.

3.1.2. Individual language coaching
The minimum length for a coaching appointment in foreign language training is three teaching units (135 minutes). As under 3.1.1. the organisation is made in consultation with the respective participant or the person responsible for training in the organisation. The final scope of the training will be agreed on an individual basis within the framework of an offer defined under 2.

3.1.3. Workshops
The minimum length for a workshop in the foreign language training sector is 1 training day (corresponds to 8 hours including breaks). A deviation to a shorter duration is to be agreed individually with MR education services and will be agreed accordingly in an individual contract within the framework of an offer defined under 2. As under 3.1.1. the organisation is made in consultation with the respective participant or the person responsible for training in the organisation.

3.1.4. Language Travel & Other Forms of Learning
The training areas Language Travel & Other Forms of Learning are cooperation business. In this case, the General Terms and Conditions of the respective cooperation partner apply and will be made available immediately prior to the conclusion of the contract.

3.1.5. Individual training and group training online (virtual classroom, video conference or similar)
A teaching unit (UE) at MR education services is 45 minutes. The minimum length for a lesson is 1 time hour (60 minutes in total). Organisational issues such as the scheduling, the determination of the start date, the course frequency as well as the determination of the planned performance period are to be agreed upon in advance with the training participants or a training officer of the commissioning organisation. These agreements are binding and will be fixed again within the framework of the offer if desired.

3.2. IT-Training
The minimum length of an IT training course at MR education services is 1 training day (equivalent to 8 hours including breaks). A deviation to a shorter duration is to be agreed individually with MR education services and will be agreed accordingly in an individual contract within the framework of an offer defined under 2. As under 3.1.1. the organisation is made in consultation with the respective participant or the person responsible for training in the organisation.

3.3. Seminars
The minimum length of a seminar at MR education services is 1 training day (equivalent to 8 hours including breaks). A deviation to a shorter duration is to be agreed individually with MR education services and will be agreed accordingly in an individual contract within the framework of an offer defined under 2. As under 3.1.1. the organisation is made in consultation with the respective participant or the person responsible for training in the organisation.

4. Cancellation and date changes

4.1. Cancellation and change of dates by MR education services
In principle, the booked trainings will take place under the confirmed general conditions. In exceptional cases, such as illness of the instructor or delays not caused by MR education services, MR education services reserves the right to use another instructor or to make up the service at a new date to be agreed upon. This does not result in any further claims against MR education services. Should no new date be agreed between the parties within a reasonable time, the client may withdraw without incurring any costs.

4.2. Cancellation and change of date by the client
Any postponement and / or cancellation must be agreed with MR education services’ client management.

4.2.1. Regulations for language training
4.2.1.1. Regulations for individual and group face-to-face training (on-site)
Cancellation of an ongoing individual contract is not possible.

Regulations for orders that have been paid in advance/once:
Training hours that have not been used and paid for can be transferred to any type of training service provided by MR education services after written agreement between MR education services and the client. Excluded are teaching materials, language trips and other externally purchased services. Should an individual contract remain dormant for longer than 12 months, so that despite intensive planning efforts on the part of MR education services’ client management, no teaching is provided (original or transferred hours), the claims to the paid but not yet used teaching units lapse.

Regulations for orders with a defined number of hours and monthly billing according to expenditure:
Confirmed but unused training hours can be transferred to any kind of training services of MR education services after written agreement between MR education services and the client. Excluded are teaching materials, language trips and other externally purchased services. If an individual contract is suspended/paused for longer than 12 months, so that no lessons are given (original or transferred lessons) despite intensive planning efforts on the part of MR education services client management, MR education will invoice the confirmed and unused lessons. Within 12 months after this settlement, the invoiced amount for training services can be transferred by MR education services. After expiry of these 12 months the claim expires.

The cancellation deadline for individual, agreed appointments is 24 hours before the start of the lesson. Should the lessons take place on Mondays, the lessons agreed for Monday must already be cancelled by 2:00 p.m. on the preceding Friday.

Cancellations must be notified to MR education services by telephone or e-mail.

In individual training, the participant can cancel or postpone the appointment individually.

In group training, the entire group must cancel in order to cancel an appointment. Cancellations of individual participants do not result in a cancellation of the lesson date for this type of training.

4.2.1.2. Regulations for online individual training and online group training
Cancellation of an ongoing individual contract is not possible.

4.2.1.3. Regulations for language coaching and intensive language training courses
If the client wishes to cancel an order, the cancellation must be submitted to MR education services in writing, by e-mail or by fax. The following cancellation regulations apply:

Up to 7 days before the start of the event 50% of the agreed fee.
Up to 3 days before the start of the event 75% of the agreed fee
100 % of the agreed fee up to 24 hours before the start of the event.
4.2.1.4. Regulations for language tours and other forms of learning
These forms of learning are cooperation transactions. Therefore, the General Terms and Conditions of the respective partner apply in these cases.

4.2.2. Regulations for IT training and online IT training
4.2.2.1. Regulations for in-house IT training (on-site)
If the client wishes to cancel an order, the cancellation must be submitted to MR education services in writing, by e-mail or by fax. The following cancellation regulations apply:

Up to 28 days before the start of the event: processing fee of € 100.00
Up to 14 days before the start of the event: 50 % of the agreed fee
Up to 7 days before the start of the event: 75 % of the agreed fee
If the cancellation is received after this date, 100 % of the agreed fee will be charged.

4.2.2.2. Regulations for Online IT Training
If the client wishes to cancel an order, the cancellation must be submitted to MR education services in writing, by e-mail or by fax. The following cancellation regulations apply:

Up to 14 days before the start of the event: free cancellation possible.
Up to 7 days before the start of the event: 50 % of the agreed fee
If the cancellation is received after this date, 100 % of the agreed fee will be charged.

4.2.3. Regulations for seminars and online seminars (webinars)
4.2.3.1. Arrangements for face-to-face seminars and coaching (on-site)
If the client wishes to cancel an order, the cancellation must be submitted to MR education services in writing, by e-mail or by fax. The following cancellation regulations apply:

Up to 28 days before the start of the event: processing fee of € 200.00
Up to 21 days before the start of the event: 50 % of the agreed fee
Up to 7 days before the start of the event: 75 % of the agreed fee
If the cancellation is received after this date, 100 % of the agreed fee will be charged.

4.2.3.2. Regulations for online seminars and online coaching (webinars)
If the client wishes to cancel an order, the cancellation must be submitted to MR education services in writing, by e-mail or by fax. The following cancellation regulations apply:

Up to 21 days before the start of the event: processing fee of € 150.00
Up to 14 days before the start of the event: 50 % of the agreed fee
Up to 7 days before the start of the event: 75 % of the agreed fee
If the cancellation is received after this date, 100 % of the agreed fee will be charged.

4.3.1. Regulations for coaching services
4.3.1.1. Regulations for presence coaching (on-site / face-to-face)
4.3.1.1.1. “Full-day” presence coaching
If presence coaching takes place for a whole day, the cancellation conditions according to 1.2 (presence seminar) apply.

4.3.1.1.2. Coaching by the hour
If presence coaching is agreed by the hour (not full-day, for example 2 or 4 hours or comparable), the following cancellation conditions apply in the event of cancellation by the client:

Cancellation up to 7 days before the agreed coaching date è free cancellation possible.
Cancellation up to 3 days before the agreed coaching date è 50 % of the agreed fee
If the cancellation is received after this date è 75 % of the agreed fee
4.3.1.2. Regulations for online coaching (remote / virtual)
4.3.1.2.1. Full-day” online coaching
If online coaching takes place for a whole day, the cancellation conditions according to 1.2 (presence seminar) apply.

4.3.1.2.2. Online coaching by the hour
If online coaching is agreed by the hour (not full-day, for example 2 or 4 hours or comparable), the following cancellation conditions apply in the event of cancellation by the client:

Cancellation up to 3 days before the agreed coaching date è free cancellation possible.
If the cancellation is received after this date è 75 % of the agreed fee

5. Payment conditions

5.1. In-House Individual Training, In-House Group Training
Invoices are issued immediately after confirmation of the order. The invoice amount is due for payment within 14 days. The course fee as well as the costs associated with the course are generally to be paid before the start of the training. In the event of non-payment within the agreed period, MR education services reserves the right to suspend the training until payment has been received.

5.2. Language trips and other forms of learning
These forms of learning are cooperation transactions. Therefore, the General Terms and Conditions of the respective partner apply in these cases.

5.3. All terms and conditions not mentioned in 5.1. and 5.2. listed above
The invoice for the training shall be issued immediately after confirmation of the order and must be paid within 30 days, but at least 14 days before the respective date of the training.
Any travel, board and lodging expenses incurred by the instructor conducting the training shall be invoiced separately immediately after the training has taken place.

6. Limitation of liability

MR education services’ commitments are subject to the availability of the relevant lecturers. MR education services reserves the right to appoint a substitute trainer in the event that a trainer is unavailable. Should this not be possible on a scheduled date, MR education services will offer substitute lessons on a date agreed with the participant(s) or a person responsible within the organisation. A change of trainer may be part of the respective course programme or the methodology used and does not entitle the client to cancel appointments, nor to terminate or withdraw from the contract.
The success of the training is decisively influenced by the participant’s participation in the form of attendance, self-study (e.g. homework) and active participation during the lesson time.

The information provided by MR education services on training hours to achieve a training goal is based on previous experience and may vary in individual cases. MR education services is therefore not liable for the achievement of a specific learning or training success.

Place of performance and local jurisdiction is Bielefeld.

General Terms and Conditions of Rooms Bielefeld 

1. Scope of Application  

The present General Terms and Conditions apply to contracts for the rental of event rooms and the associated execution of events in the premises of MR education services GmbH (hereinafter referred to as MRE). Deviations from these provisions are only valid if they are agreed upon in writing between the provider and the event organizer or explicitly stated in the rental contract. 

2. Conclusion of Contract  

MRE sends the customer an offer (based on a written summary or a price list) for the execution of the event and the rental of the premises. A contract is concluded between MRE and the customer when the customer accepts the offer in written form and MRE confirms it in the form of an order confirmation (informal, verbal, or by email) or by mutual signature of a corresponding rental contract.

3. Services and Payment Method  

MR education services GmbH is obliged to provide the rooms booked by the customer and to render the agreed services. The customer is obliged to pay the prices applicable or agreed upon for the provision of services by MRE. This also covers any services and costs paid by MRE to third parties at the client’s request. MRE must inform the customer in advance of the event – or at the latest when services are requested – about any costs incurred or additional charges. The agreed costs for renting the space apply exclusively to the provision of the premises and the furniture requested by the client, as long as that furniture is available on the premises and does not have to be rented from a third party. If the conditions of the event (participants, duration, or personnel effort) change significantly, MRE reserves the right to adjust the offer. For events with pricing based on the number of participants, the number of participants communicated by the organizer in advance applies. The organizer must inform MRE of this number in writing no later than 7 days before the event unless otherwise agreed. These details are set as the minimum in the final invoice and used as the basis for cost calculation. If the actual number of participants significantly exceeds the specified number, MRE reserves the right to charge for this additionally if further costs have been incurred by MRE. 

4. Payments  

Invoicing is based on the preceding offer. A detailed list of services is part of the invoice. The billing is done in the currency EURO and is to be paid by transfer to MRE’s bank account. Payments by check or credit card are not accepted. MRE invoices are due within fourteen days of receipt of the invoice. 

5. Cancellation  

Any type of cancellation must be made in writing. Events can only be cancelled by the customer if the booked services (catering, premises, etc.) are cancelled at the same time. Cancellations are possible until the day of the event. In the event of a cancellation for which MRE is not responsible, we reserve the right to charge for any costs already incurred, based on the date the written notice of cancellation is received: 

  • Up to 28 days before the event: Free cancellation 
  • Up to 21 days before the event: 50% of the agreed fee 
  • Up to 7 days before the event: 75% of the agreed fee  

If the cancellation is received later, 100% of the agreed fee will be charged. 

6. Withdrawal by MR education services GmbH  

MRE is entitled to withdraw from the contract for a justifiable reason if one of the following events occurs: 

  • Force majeure or other circumstances not attributable to MRE that make the execution of the event impossible (e.g., storm or power outage). 
  • If the customer sublets or re-rents the rented premises or uses them for purposes other than those agreed upon. 
  • An unforeseen event makes the further course of the event impossible (e.g., fire alarm, power outage, pipe burst, etc.).  

In the case of justified withdrawal by MRE, the customer has no claim for damages. If the ongoing event is interrupted, all services provided up to that point must be paid for by the customer. 

7. Customer Obligations 

  • Unless otherwise documented in writing, the organizer has the following obligations to MRE: The customer assumes sole responsibility for the proper conduct of the event. 
  • The marked escape routes must be kept clear at all times. 
  • Other events may take place in surrounding rooms. The customer is obliged to show mutual consideration. 
  • Smoking is generally not permitted in any of the MRE premises.  

The customer undertakes to comply with these provisions and indemnifies MRE from any liability. If the responsible customer’s obligations or those engaged by him are not observed, MRE reserves the right to terminate the event immediately. As already described in point 7, the customer’s claims for recourse against the landlord are excluded. 

8. Customer Liability 

  • General Liability for Damage or Loss: The tenant is liable for damage in the event room or its inventory, including third-party inventory, caused by him or third parties from his area (e.g., participants). Brought exhibition or other personal items are at the customer’s risk in the event rooms. MRE assumes no liability for loss, destruction, or damage, including financial losses, unless it is due to gross negligence or intent by MRE. This does not apply to damages resulting from injury to life, body, freedom, or health. 
  • Claims for Extraordinary Pollution: The cleaning included in the rental price assumes normal use of the room. If extraordinary cleaning is required due to increased pollution of the premises or external parking spaces, the additional costs will be charged to the customer. Examples of special pollution include: 
  • Stickers, permanent marker inscriptions, adhesive residues 
  • Chewing gum 
  • Burn marks

9. Jurisdiction The district court of Bielefeld is agreed upon. 

10. Final Provisions Should individual provisions of these General Terms and Conditions for events be ineffective, the validity of the remaining provisions shall not be affected. Deviating agreements or side agreements require written form to be effective.
